Contests for Corporate Control

Contests for Corporate Control

During the 1990s, corporate governance became a hot issue in all of the advanced economies. For decades, major business corporations had reinvested earnings and developed long-term relations with their labour forces as they expanded the scale and scope of their operations. As a result, these corporations had made themselves central to resource allocation and economic performance in the national economies in which they had evolved. Then, beginning in the 1980s and picking up momentum in the 1990s, came the contests for corporate control. Previously silent stockholders, now empowered by institutional investors, demanded that corporations be run to 'maximize shareholder value'. In this highly original book, Mary O'Sullivan provides a critical analysis of the theoretical foundations for this principle of corporate governance and for the alternative perspective that corporations should be run in the interests of 'stakeholders'. She embeds her arguments on the relation between corporate governance and economic performance in historical accounts of the dynamics of corporate growth in the United States and Germany over the course of the twentieth century. O'Sullivan explains the emergence–and consequences–of 'maximizing shareholder value' as a principle of corporate governance in the United States over the past two decades, and provides unique insights into the contests for corporate control that have unfolded in Germany over the past few years.

The benefits of working with Application Service Providers (ASPs) can be compelling -- faster rollouts, lower costs, less time spent on implementation and maintenance, and a greater opportunity to focus on your organization's core competencies. Unfortunately, the risks of ASP relationships are far from insignificant. In this book, the President of ASPWatch shows IT managers exactly how to navigate the risks, and use ASPs for maximum competitive advantage. John Harney presents a complete roadmap for any IT decision-maker considering outsourcing to ASPs. He offers expert guidance for answering questions like: What costs are involved? How secure and viable is your ASP? How do you choose the right ASP? You'll learn practical criteria for identifying possible ASP partners; choosing amongst ostensibly similar ASPs; evaluating services, performance, and ROI; and negotiating service level agreements that meet your business requirements. For everyone considering or using Application Service Providers, including IT executives and managers, line-of-business managers, Web and e-business professionals, and consultants.

The Shadows of Appalachia

Born in 1928, Mary Bremier has a remarkably keen eye, both for the beauty of her natural world and for the telling details of human frailty. The Shadows of Appalachia has a deft, musical voice that recalls the regional dialect as well as the songs, sayings, and prayers that shaped her Depression-era childhood. Her gentle irony lays bare the mindset of her hardworking, proud, ignorant, doomed-to-failure, beloved Appalachian family. The Appalachian culture, the same subject as Hillbilly Elegy, is expanded upon in The Shadows of Appalachia with empathy, a rich cast of characters, and some laugh-out-loud humor. The action and setting have similarities to Little House on the Prairie, although it is more nuanced and at times dark, with adult themes. This is a book about the power of language, and how education offers a route out and away from the limitations of narrow-mindedness. Young Mary, silenced and shamed by her mother, is also crippled by dyslexia. Her unconventional education results in her facile, engaging ability to play with words, and reveals how Mary ultimately thrives. After the tragic loss of her husband and young daughter, Mary returns to Appalachia to resolve her conflict with her painful past, her family's shortcomings, and the death of a way of life.
