Corporate law and corporate governance have been at the forefront of regulatory activities across the world for several decades now, and are subject to increasing public attention following the Global Financial Crisis of 2008. The Oxford Handbook of Corporate Law and Governance provides the global framework necessary to understand the aims and methods of legal research in this field. Written by leading scholars from around the world, the Handbook contains a rich variety of chapters that provide a comparative and functional overview of corporate governance. It opens with the central theoretical approaches and methodologies in corporate law scholarship in Part I, before examining core substantive topics in corporate law, including shareholder rights, takeovers and restructuring, and minority rights in Part II. Part III focuses on new challenges in the field, including conflicts between Western and Asian corporate governance environments, the rise of foreign ownership, and emerging markets. Enforcement issues are covered in Part IV, and Part V takes a broader approach, examining those areas of law and finances that are interwoven with corporate governance, including insolvency, taxation, and securities law as well as financial regulation. Now in paperback, the Handbook is a comprehensive, interdisciplinary resource placing corporate law and governance in its wider context, and is essential reading for scholars, practitioners, and policymakers in the field.
Revealing the Inner Worlds of Young Children

Revealing the Inner Worlds of Young Children

Typically, we make sense of our experiences and interactions in a way that is guided by emotion and that takes the form of a narrative or a story. Using narratives, we can tell others about our experience, share common meanings, imagine possibilities, and co-construct new meanings. It is thus a momentous development when, at around age three, a child acquires the capacity to construct narratives. The book reports the work of a 20-year collaboration between 36 psychologists who have created and investigated a new tool to elicit and analyze children's narratives. This tool is the MacArthur Story Stem Battery, a systematic collection of story beginnings that are referred to as 'stems.' These stems are designed to elicit information from children about their representational worlds. This method is particularly exciting because using it allows developmental psychologists to gain information directly from children about their emotional states and what they are able to understand, and in turn, to use this information to explore significant emotional differences among children.

Molecular Biology of Assemblies and Machines presents a comprehensive narrative describing the structures of macromolecular complexes and how they assemble and interact. Richly illustrated, it is written for advanced undergraduates, graduate students, and researchers in biochemistry, structural biology, molecular biology, biophysics, cell biology, and microbiology, and will also appeal to those in chemistry, immunology, and medicine.Essentially all major biological activities are performed by assemblies of macromolecules (proteins, RNA, and DNA) acting in concert. These assemblies are dynamic and many are endowed with machine-like properties. This unique book explores the molecular mechanisms employed at the critical level between individual macromolecules and cells and organelles.

This book is devoted to the problem of sampled-data control of finite-dimensional linear continuous periodic (FDLCP) objects. It fills a deficit in coverage of this important subject. The methods presented here are based on the parametric transfer matrix, which has proven successful in the study of sampled-data systems with linear time-invariant objects. The book shows that this concept can be successfully transferred to sampled-data systems with FDLCP objects. It is set out in five parts:· · an introduction to the frequency approach for the mathematical description of FDLCP objects including the determination of their structure and their representation as a serial connection of periodic modulators and a linear time-invariant object; · construction of parametric transfer matrix for different types of open and closed sampled-data systems with FDLCP objects; · the solution of problems of causal modal control of FDLCP objects based on the mathematical apparatus of determinant polynomial equations; · consideration of the problem of constructing a quadratic quality functional for the H2-optimization problem of a single-loop synchronous sampled-data system with control delay; · description of the general H2-optimization procedure. Necessary mathematical reference material is included at relevant points in the book. Sampled-Data Control for Periodic Objects is of use to: scientists and engineers involved in research and design of systems of systems with FDLCP objects; graduate students wishing to broaden their scope of competence; their instructors; and mathematicians working in thefield of control theory.

Attachment Structures and Adhesive Secretions in Arachnids

Attachment Structures and Adhesive Secretions in Arachnids

Jonas O. Wolff; Stanislav N. Gorb

This book surveys attachment structures and adhesive secretions occurring in this class of animals and discusses the relationships between structure, properties, and function in the context of evolutionary trends, and biomimetic potential. Topics comprise mechanical attachment devices, such as clamps, claws, hooks, spines and wraps, as well as hairy and smooth adhesive pads, nano-fibrils, suction cups, and viscid and solidifying adhesives. Attachment is one of the major types of interactions between an organism and its environment. There are numerous studies that deal with this phenomenon in lizards, frogs, insects, barnacles, mussels and echinoderms, but the second largest class of animals, the Arachnida, was highly neglected so far. The authors demonstrated that most arachnid adhesive structures are highly analogous to those of insects and vertebrates, but there are also numerous unique developments with some intriguing working principles. Because arachnid attachment organs have a very strong potential of technological ideas for the development of new materials and systems, inspirations from biology could also be interesting for a broad range of topics in materials and surface engineering.

Since Efron's profound paper on the bootstrap, an enormous amount of effort has been spent on the development of bootstrap, jacknife, and other resampling methods. The primary goal of these computer-intensive methods has been to provide statistical tools that work in complex situations without imposing unrealistic or unverifiable assumptions about the data generating mechanism. The primary goal of this book is to lay some of the foundation for subsampling methodology and related methods.

Facial nerve surgery inevitably leads to partial pareses, abnormally associated movements and pathologically altered reflexes. The reason for this "post-paralytic syndrome" is the misdirected reinnervation of targets, which consists of two major components. First, due to malfunctioning axonal guidance, a muscle gets reinnervated by a "foreign" axon, that has been misrouted along a "wrong" fascicle. Second, the supernumerary collateral branches emerging from all transected axons simultaneously innervate antagonistic muscles and cause severe impairment of their coordinated activity. Since it is hardly possible to influence the first major component and improve the guidance of several thousands axons, the authors concentrated on the second major component and tried to reduce the collateral axonal branching.

References ...77 Subject Index...89 XI 1 Introduction 1.1 Antigen Presentation and Antigen Presenting Cells A key issue in the pathogenesis of any chronic degenerative (auto )immune disease of the central nervous system (CNS) is how pathologically altered autologous neuronal proteins can trigger a reaction of the immune system. The specific and greatly multi- plied immune response is decisive for the outcome of the disease. Current knowledge shows that the immune system gets involved and potentiates a progressive neuronal degeneration in two ways, which are not mutually exclusive. First, provided the immunogenic autologous protein occurs in the interstitial fluid of CNS in amounts which cannot be phagocytized and cleared by the leptomeningeal macrophages, it reaches the cervical lymph nodes passively along the perivascular spaces, the cerebrospinal fluid compartment above the cribriform plate, and the lymphatics of the nasal mucosa (Cserr and Ostrach 1974; Weller et al. 1992; Zhang et al. 1992; Kida et al. 1993). The immunological significance of this "late" pathway typical for advanced neurodegeneration has been confirmed by Harling-Berg et al. (1989), who showed that the cervical lymph nodes are the main site of antibody production against foreign protein injected into the central gray matter of the rat brain.

As the title suggests, Isotope Effects in the Chemical, Geological and Bio Sciences deals with differences in the properties of isotopically substituted molecules, such as differences in the chemical and physical properties of water and the heavy waters. Since the various fields in which isotope effects are applied do not only share fundamental principles but also experimental techniques, this book includes a discussion of experimental apparatus and experimental techniques. Isotope Effects in the Chemical, Geological and Bio Sciences is an educational monograph addressed to graduate students and others undertaking isotope effect research. The fundamental principles needed to understand isotope effects are presented in appropriate detail. While it is true that these principles are more familiar to students of physical chemistry and some background in physical chemistry is recommended, the text provides enough detail to make the book an asset to students in organic and biochemistry, and geochemistry.
