Das Umwandlungssteuerrecht (reorganization provisions) besitzt in den USA trotz seiner enormen Komplexitat einen hohen Stellenwert, was insbesondere darauf zuruckzufuhren ist, dass bestimmte Unternehmenserwerbe steuerneutral durchgefuhrt werden koennen (acquisitive reorganizations). Da mittlerweile vermehrt deutsche Unternehmen in die USA expandieren, gewinnt das US-amerikanische (Umwandlungs-)Steuerrecht zunehmend auch fur deutsche Investoren an Bedeutung. Die Arbeit nimmt dies zum Anlass, die in der Praxis am haufigsten anzutreffenden acquisitive reorganizations in Form der A-, B- und C-reorganization dem jeweiligen deutschen Pendant gegenuberzustellen und zu untersuchen, wie die entsprechenden Vorschriften in das jeweilige Steuerrecht eingebettet sind und auf welche Art und Weise bzw. mit welcher steuersystematischen Rechtfertigung diese Umwandlungs- bzw. Erwerbsformen steuerneutral durchgefuhrt werden. Die Arbeit zeigt, dass trotz zahlreicher Unterschiede beide Rechtsordnungen zum Teil identische Probleme zu bewaltigen haben und diese mit vergleichbaren Mitteln zu loesen suchen.

Ils sont aussi pertinents aujourd'hui qu'ils l' taient il y a 2 500 ans. Dans la plupart des cas, je n'ai pas trouv de meilleur moyen de les communiquer.Le bouddhisme n'est pas une religion, car les religions exigent la foi; c'est plut t une recherche de la v rit . Le bouddhisme est une exp rience de conscience de soi que chaque individu doit d sirer, rechercher et conserver. Bouddha montre le chemin, un chemin compos de quelques ramifications que les individus peuvent suivre. Certains choisissent la voie de la prise de conscience du nirvana pour ensuite en aider d'autres en enseignant, comme le Dala -Lama, le Panchen Lama et bien d'autres grands ma tres, retournant vie apr s vie pour enseigner aux tres en qu te de lib ration de la souffrance. D'autres, comme Padmasambhava, Milarepa, Naropa et les autres Mahasiddhas, ont pris le chemin sot rique pour aider les autres non seulement par l'enseignement, mais aussi par des moyens invisibles et apparemment myst rieux mesure qu'ils progressent sur le chemin tantrique de l'accomplissement dans le temps et dans des vies multiples en dehors de l'Inde et du Tibet.
