Dabei stellt sich die Frage, wie Verträge zustande kommen und wie sich deren Inhalt mittels Auslegung bestimmen lässt. Deutsches und englisches Recht unterscheiden sich in beiden Punkten zunächst scheinbar drastisch. Während nach deutschem Verständnis bei der Auslegung einer Willenserklärung der wirkliche Wille der Parteien erforscht werden soll, soll nach englischem Verständnis nur der Inhalt einer Erklärung ermittelt werden. Philipp Ziegler arbeitet die theoretischen und praktischen Unterschiede heraus und stellt sie gegenüber, um so einen umfassenden Vergleich zwischen der Bedeutung des subjektiven Willens im Rahmen beider Rechtsordnungen vornehmen zu können. Zugleich werden die Regeln zum Dissens und das Irrtumsrecht des deutschen und englischen Rechts in die Untersuchung mit einbezogen.
